1. Agreement and who we are
These Terms & Conditions (“Terms”) govern your access to and use of the EUChat.ai website, software, applications, APIs, and related services (together, the “Service”). The Service is provided by European Technology Services UG (“EUChat.ai”, “we”, “us”, or “our”).
By visiting our website, creating an account, or using the Service, you agree to these Terms and our Privacy Policy. If you use EUChat.ai on behalf of an organization, you represent that you have authority to bind that organization and “you” includes that organization.
2. The EUChat.ai Service
EUChat.ai provides a model-agnostic AI workspace intended to help teams work with conversations, files, knowledge, web research, agents, workflows, code execution, and connected tools. The capabilities available to you depend on your plan, configuration, permissions, connected providers, and deployment model.
EUChat.ai may be offered as a managed service, through your own cloud or infrastructure, or as a self-hosted deployment. Additional product-specific terms, order forms, service level commitments, or security documentation may apply to an organization’s subscription. If there is a conflict, the signed commercial agreement controls for that organization.
3. Accounts and access
You are responsible for providing accurate account information, keeping authentication details confidential, and maintaining appropriate access controls for your users. You must promptly notify us if you believe an account or credential has been compromised.
Organization administrators may invite users, configure model and tool permissions, manage retention or workspace settings, and access administrative information as permitted by the organization’s configuration. You are responsible for ensuring that your users are authorized to access the workspace and that your use complies with applicable law.
4. Customer Content, third-party models, and AI outputs
4.1 Your content
“Customer Content” means information submitted to or generated within your workspace, including prompts, files, messages, configurations, and outputs. As between you and EUChat.ai, you retain your rights in Customer Content. You grant EUChat.ai the limited rights needed to host, process, transmit, secure, and provide the Service to you.
You are responsible for having the permissions and lawful basis required to submit Customer Content. Do not submit sensitive personal data, protected health information, confidential information, or regulated data unless your organization has selected an appropriate deployment and agreement for that use.
4.2 AI outputs need review
AI systems can produce inaccurate, incomplete, biased, or outdated responses. Outputs may not be unique and are not professional medical, legal, financial, employment, or other regulated advice. You must review outputs before relying on them, especially where a decision could affect a person’s health, rights, safety, finances, or access to services.
4.3 Connected services
The Service can connect to third-party model providers, tools, storage, web search, code execution environments, and other services. Your use of those services is also governed by their terms and privacy practices. You authorize EUChat.ai to transmit the minimum information needed to perform the connected action you request, subject to your configuration and the applicable provider integration.
5. Acceptable use
You may use the Service only for lawful purposes and in accordance with these Terms. You must not:
- use the Service to violate any law, regulation, contract, confidentiality obligation, or third-party right;
- attempt to gain unauthorized access to the Service, another account, or an underlying system;
- introduce malware, evade usage limits, probe or disrupt security controls, or interfere with another user’s access;
- use the Service to generate or distribute content that facilitates serious harm, fraud, abuse, exploitation, or illegal activity;
- use AI outputs as the sole basis for high-impact decisions about individuals without appropriate human review and safeguards; or
- reverse engineer, copy, resell, sublicense, or create a competing service from the Service except where applicable open-source licenses expressly permit it.
We may investigate suspected misuse and may restrict or suspend access where reasonably necessary to protect users, the Service, or third parties. Where practical, we will provide notice and an opportunity to resolve the issue.
5.1 Fair use and service discretion
The Service is intended to be used fairly and in a manner consistent with the limits and purpose of your plan. We may, at our discretion and to the maximum extent permitted by law, refuse to provide, limit, throttle, suspend, or terminate access to the Service, with or without notice, if we reasonably believe that your use:
- materially exceeds normal or expected usage, consumes a disproportionate or excessive amount of compute, storage, bandwidth, model capacity, or other resources, or negatively affects the Service or other users;
- involves scraping, automated or abusive activity, attempts to bypass quotas or safeguards, fraud, payment abuse, account sharing, or the creation of multiple accounts to evade limits;
- creates a security, legal, operational, reputational, or financial risk for EUChat.ai, our providers, our users, or third parties; or
- otherwise departs materially from the intended use of the Service or these Terms.
We may also decline or discontinue service where we are unable or unwilling to support a particular use case, jurisdiction, customer, or deployment, subject to applicable law and any express written commitments. We are not required to provide or continue providing the Service to any person or organization, and may exercise this discretion for any lawful reason or where no specific reason is required to be given. We will not use this provision to avoid non-waivable legal obligations, mandatory consumer protections, or an applicable written agreement.
6. Trials, plans, and payment
Some features may be offered as a trial or without charge. Trials may be subject to limits and may end or change without notice. Paid plans, usage limits, renewal, taxes, refunds, and cancellation terms will be described in the applicable order form or checkout flow.
Unless a written agreement says otherwise, fees are non-refundable except where required by law. You are responsible for keeping billing information current and paying amounts due when required.
7. Intellectual property
The Service, including its software, interfaces, designs, documentation, trademarks, and content supplied by EUChat.ai, is owned by EUChat.ai or its licensors and is protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during the applicable subscription or permission period.
EUChat.ai may use feedback you provide to improve the Service, provided that we do not identify you or disclose your confidential information without permission. EUChat.ai’s open-source components remain subject to their applicable licenses.
8. Security and compliance statements
We maintain technical and organizational measures intended to protect the Service. Depending on your deployment and agreement, these may include encryption in transit and at rest, role-based access, audit events, single sign-on, model permissions, data residency, and self-hosting options.
References to a “HIPAA certification pathway”, “GDPR-aligned”, “EU Residency”, or “EU Sovereign” describe product controls or deployment options, not a universal guarantee or substitute for a signed data processing agreement, business associate agreement, certification, or customer configuration. Ask EUChat.ai for current security documentation before using the Service with regulated data.
9. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Service is provided on an “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or suitable for every purpose, or that AI outputs will be accurate or complete. Mandatory consumer rights and non-waivable statutory protections are not excluded.
To the maximum extent permitted by law, EUChat.ai will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity arising from your use of the Service. Any aggregate liability will be limited to the fees paid or payable for the Service giving rise to the claim during the twelve months before the event, except to the extent a different limit is required by law or agreed in writing.
10. Indemnity
To the extent permitted by law, you agree to defend and hold harmless EUChat.ai and its officers, employees, and contractors from claims, damages, liabilities, and reasonable costs arising from your unlawful use of the Service, your violation of these Terms, or Customer Content that infringes a third party’s rights.
11. Changes and termination
We may update these Terms when the Service, law, or our practices change. We will post the updated version and change the effective date. If a change materially affects your rights, we will provide reasonable notice. Your continued use after the effective date means you accept the updated Terms.
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create a security risk, fail to pay applicable fees, or where required by law. Sections that by their nature should survive termination will survive, including provisions concerning content, intellectual property, disclaimers, liability, and dispute resolution.
12. Governing law
Unless mandatory law provides otherwise, these Terms are governed by the laws of Germany, without regard to conflict-of-laws rules. The courts with jurisdiction over EUChat.ai’s registered office will have exclusive jurisdiction, subject to any mandatory rights you may have.
